PWI Extraordinary General Meeting
18 November 2025 at 15:30 UK time via the Microsoft Teams online meeting platform

(“the Company”)
The purposes of the meeting are:
1. to table a Special Resolution: that the name of the Company be changed to:
RAILWAY ENGINEERING INSTITUTION (INCORPORATED)
2. in respect of that Special Resolution, to demand a poll of the Members in accordance with Article 14. (i) of the Articles of Association
3. to direct, in accordance with Article 19. of the Articles of Association, that:
a. the poll be undertaken electronically, opening on Tuesday 18 November 2025 and closing at 12:00 midday UK time, on Tuesday 16 December 2025; and where necessary by post (postal votes must be delivered to the scrutineers before 12:00 midday UK time, on Tuesday 16 December 2025)
b. Messrs Civica Election Services be appointed as scrutineers
c. the result of the poll be announced on 18 December 2025, online on the Company’s internet web pages and by email to Members.
